Terms and conditions for businesses

Updated 29 October 2026

This is a translation for your convenience; the Czech version of these documents is the binding one.

Terms and conditions for businesses of the AKCETRON platform (akcetron.com and the AKCETRON mobile app, hereinafter the “Platform”) – effective from 29 October 2026.

The AKCETRON Platform is operated by Akcetron s.r.o., company ID (IČO): 23428830, registered office at Líbalova 2348/1, 149 00 Prague 4, entered in the Commercial Register kept by the Municipal Court in Prague, Section C, Insert 426939, e-mail: podpora.biz@akcetron.com (hereinafter “AKCETRON”).

Article 1 – Introductory provisions and definitions

1.1 These terms and conditions (hereinafter the “Terms”) govern the rights and obligations between AKCETRON and the entrepreneurs who publish discounted offers on the AKCETRON platform (hereinafter a “Business”). The Platform is intended exclusively for entrepreneurs; a Business uses it in the course of its business.

1.2 Platform – the akcetron.com website and the AKCETRON mobile app, through which AKCETRON enables Businesses to publish discounted offers of goods and services (hereinafter “Offers”) and customers search for them.

1.3 Customer – a user of the Platform who reserves a Business’s offer and obtains a Voucher.

1.4 Offer – a discounted offer of goods or a service of a Business published on the Platform.

1.5 Voucher – an electronic document with a QR code or a code (on a phone or printed) entitling the Customer to buy goods or a service from the Business at the price and on the terms of a specific Offer.

1.6 Boost – a paid service with which a Business gives its Offer a more prominent display on the Platform.

1.7 AKCETRON provides the Platform as an intermediary service. The purchase or other contract for the goods or service is concluded by the Customer directly with the Business. AKCETRON is not the seller, does not accept Customers’ payments for goods or services and is not liable for the Business’s performance towards Customers.

1.8 By registering and ticking the consent box, the Business confirms that it has read the Terms, in particular the Discount Rules (Art. 2) and the contractual penalties (Art. 12), and that it agrees with the current version of the Terms and undertakes to abide by them.

1.9 If the Customer is a natural person concluding contracts with Businesses outside the scope of their business or independent profession, the statutory provisions governing the legal position of consumers apply to the contractual relationship between them and the Business.

Article 2 – Discount Rules

2.1 An Offer must give a real discount of at least 20% off the original price, unless AKCETRON sets a different minimum for a particular category.

2.2 The original price is the lowest price at which the Business offered or sold the same goods or service, in the same scope and quality, in the 30 days before the Offer was published; or, if the product has been on sale for less than 30 days, from the moment it began to be offered and sold until the discount is given; or in the 30 days before the discount was first given, if the Business increases the discount gradually (Section 12a of Act No. 634/1992 Coll., on Consumer Protection). For goods or a service the Business has not yet sold, no discount may be stated until the Business actually begins to offer or sell it at the regular price; the original price is then the lowest price since that moment.

2.3 In particular, the Business must not:
a) raise the price before publishing the Offer so that the discount looks bigger;
b) state as the original price the manufacturer’s recommended price, a competitor’s price or a price at which the goods were never sold;
c) offer in the Offer goods or a service of lower quality, in a smaller quantity or scope than in regular sale;
d) sell to Customers with a Voucher at a higher price than stated in the Offer, or ask for surcharges not clearly stated in the Offer;
e) offer the same goods or service at the same time at its premises or on its website at a lower price than the price in the Offer;
f) state an untrue quantity, availability or time limit of the Offer.

2.4 AKCETRON is entitled to check prices and discounts at any time. On request, the Business must document the original price within 3 working days (e.g. with till receipts, a price list, a photo of the price tag or a record from the website). If it does not, the discount is deemed untrue.

2.5 A breach of this Article is a material breach of the Terms, for which AKCETRON applies the procedure and the contractual penalties under Art. 12.

Article 3 – Registration and account

3.1 Registration and publishing Offers are free of charge for Businesses. Only services expressly marked as paid (in particular Boost) are paid.

3.2 When registering, the Business provides truthful information, in particular its business name or name, company ID (IČO), registered office, address of its premises, contact person, e-mail and phone. It must update any changes without undue delay.

3.3 AKCETRON verifies the Business before its first Offer is published. In doing so it may ask for documents proving the existence of the Business, its authorisation to do business and the authority of the person setting up the account. AKCETRON may refuse the registration, in particular if it suspects untrue information.

3.4 The Business is responsible for keeping its sign-in details secure and for all conduct of the persons using its account (e.g. employees scanning Vouchers).

3.5 A Business may also register through an AKCETRON manager. The manager is not authorised to agree, on behalf of AKCETRON, any terms other than these Terms and the terms published on the Platform.

Article 4 – Publishing offers

4.1 The Business itself creates Offers and determines the goods or service, the original price, the discount, the number of Vouchers, how long the Offer runs (usually from 1 hour to 1 month), how long the Vouchers are valid (at the latest until the planned end of the Offer) and any terms of redemption.

4.2 An Offer must be truthful, complete and clear. In particular, it must state: a description of the goods or service, the original price and the price after the discount including VAT, the address of the premises, when the Voucher can be redeemed, and all restrictions (e.g. only on certain days, a reservation required, a limit per person).

4.3 The Business may only use photos and texts it holds the rights to, and the photos must reflect reality.

4.4 AKCETRON may check an Offer before it is published and at any time afterwards, ask for it to be changed, change its category, or not publish it or withdraw it if it is contrary to the Terms or the law.

4.5 The Business undertakes not to bypass the AKCETRON Platform, directly or through a third party, in order to conclude a contract directly with a Customer. To that end, the Business must not in particular:
a) provide the Customer with goods or a service at the price or on the terms of the Offer without a Voucher being redeemed,
b) invite the Customer to place the order, reservation or other transaction directly with the Business instead of through the Platform,
c) give the Customer, in order to bypass the Platform, a special price, advantage or other offer on condition that the transaction is not made through the Platform,
d) use the Customer’s contact details obtained through the Platform to make a transaction outside the Platform,
e) ask the Customer not to use the voucher, order or another tool of the Platform and offer them a direct transaction instead,
f) otherwise deliberately steer a transaction arising in connection with the Platform to take place outside the Platform.

4.6 Throughout the time an Offer is published, the Business must ensure sufficient capacity, stock, staffing and the other conditions needed to provide the goods or service properly to the extent corresponding to the number of Vouchers issued. The Business must not publish an Offer, or keep it active, to an extent it cannot properly fulfil.

4.7 If, after an Offer is published, anything happens that prevents or may prevent the Business from fulfilling the Offer properly, in particular running out of stock, restricted operation, a change of opening hours, a technical fault or another material change, the Business must notify AKCETRON without undue delay and at the same time propose measures to protect Customers.

4.8 The Business must provide goods and services to Customers on the terms published in the Offer and must not change those terms unilaterally to the Customer’s detriment.

4.9 The restrictions under Art. 2.3(e) and Art. 4.5 are laid down so that the Offers on the Platform are genuinely advantageous for Customers and the Platform, which charges Businesses no commission on sales for its intermediation, is not bypassed (Article 10 of Regulation (EU) 2019/1150). These restrictions do not prevent the Business from selling goods and services to Customers at its regular prices.

Article 5 – Vouchers and their redemption

5.1 The Customer obtains a Voucher on the Platform. The Customer pays the Business directly for the goods or service when the Voucher is redeemed, namely the purchase price stated in the Offer.

5.2 The Business verifies the Voucher by scanning the QR code (or entering the code) with its phone in the Business’s account on the Platform. Each Voucher can be redeemed only once. The Business must confirm each redemption on the Platform and state the amount the Customer paid.

5.3 The Business must accept every valid Voucher the Platform issued for its Offer throughout its validity. A Voucher’s validity ends at the latest at the planned end of the Offer; if the Business withdraws the Offer early or closes its account, Vouchers already issued remain valid until the originally stated end.

5.4 The Business may refuse a Voucher only if it is invalid, already redeemed, outside its validity, or if the conditions stated in the Offer are not met. It tells the Customer the reason for the refusal.

5.5 The Business must not issue more Vouchers than it can satisfy; the number of Vouchers in an Offer must match its real capacity and stock.

5.6 The Business must make sure Customers can properly redeem valid Vouchers. In particular, it must accept Vouchers during the opening hours stated in the Offer and must not create further conditions that were not stated in the Offer beforehand.

5.7 If a reservation is needed to use an Offer, the Offer must say so expressly. The Business must allow reservations on reasonable terms published beforehand and must not refuse, without an objective reason, reservations of Customers with a valid Voucher.

Article 6 – Liability of the Business towards Customers

6.1 The Business alone is responsible to the Customer for the quality, safety, quantity and delivery of the goods or service, for refunding the purchase price or other performance on withdrawal from the contract, for rights arising from defective performance, for withdrawal from the contract and for handling complaints. If the Customer decides to exercise their rights arising from defective performance or from the quality guarantee for goods and/or a service provided by the Business within the period set by law, the Business must accept and handle such complaints on the terms set by law and, if the Customer is a consumer, also in accordance with consumer protection law.

6.2 The Business gives the Customer a receipt as required by law and pays the applicable taxes.

6.3 The Business is responsible for being authorised to carry on its activity (trade licence, hygiene and other requirements) and for the goods and services offered complying with the law.

6.4 If a Customer, a supervisory authority (e.g. the Czech Trade Inspection Authority) or another person brings a claim or imposes a sanction against AKCETRON in connection with the Business’s Offer, goods or service, the Business will compensate AKCETRON for all resulting damage, fines and costs, including the costs of legal representation.

6.5 The Business must deal with the Customer properly, fairly, professionally and with due care. In particular, it must give the Customer the conditions for redeeming the Voucher without problems, provide the goods or service in the scope, quality and on the terms stated in the Offer, and refrain from conduct that could mislead the Customer or defeat the purpose of the Offer.

6.6 The Business must inform AKCETRON without undue delay of every serious Customer complaint, claim, incident concerning the safety of goods or a service, intervention of a supervisory authority or other fact that may have a significant impact on the Offer, Customers or the good name of AKCETRON.

6.7 At AKCETRON’s request, the Business must cooperate in investigating Customers’ complaints and claims, in particular by stating the facts of the case and providing documents proving the goods or service were properly provided.

6.8 The Business is liable for harm caused to the Customer in connection with the provision of the goods or service to the extent set by law.

Article 7 – Prohibited offers

7.1 In particular, it is prohibited to offer on the Platform:
a) goods or services whose sale is prohibited or requires a permit the Business does not have;
b) prescription medicines, narcotic and psychotropic substances and their imitations;
c) weapons, ammunition, explosives and their components;
d) tobacco and nicotine products, e-cigarettes, and betting and gambling;
e) erotic services and adult content;
f) counterfeits and goods infringing intellectual property rights;
g) financial products, loans, cryptocurrencies and investment opportunities;
h) anything discriminatory, misleading, dangerous or contrary to good morals.

7.2 Alcoholic drinks may be offered only as part of catering services or sale at the premises, with a clear notice that they are intended only for persons over 18. The Business must check the age when the Voucher is redeemed. AKCETRON shows Offers of alcoholic drinks only to users who have stated on the Platform that they are at least 18.

7.3 AKCETRON may extend the list of prohibited offers; the current list is published on the Platform.

Article 8 – Boost and payments

8.1 Boost is a paid service of a more prominent display of a specific Offer for the period stated in the price list. Current prices are given in the price list on the Platform; the price valid at the time of the order applies. On the day these Terms take effect, the price of a Boost is CZK 100 excluding VAT; in the first 6 months after the Platform launches for Customers, one Boost lasts 7 days, and 24 hours after that. AKCETRON will announce the day the Platform launches for Customers to Businesses by e-mail and on the Platform. AKCETRON will inform Businesses of a change in the length of a Boost at least 15 days in advance.

8.2 A Boost is paid in advance by payment card through a payment gateway. A Boost is activated once the payment is received. AKCETRON issues a tax document and makes it available in the Business’s account.

8.3 A Boost increases the visibility of an Offer but does not guarantee any number of views, Customers or sales.

8.4 The price paid for a Boost that has started is not refunded, not even if the Business withdraws the Offer early or AKCETRON withdraws it for a breach of the Terms. If the Boost was not provided for a reason on AKCETRON’s side, AKCETRON refunds a proportionate part of the price.

8.5 AKCETRON may introduce further paid services or credits in the future. If they are introduced, their terms will be set by the price list and these Terms; basic publishing of Offers will remain free of charge unless announced beforehand under Art. 16.

8.6 Referrals. Each Business has a permanent referral link and code for its customers and other businesses. An invitee is credited to the one whose link or code was used at registration; the bonus for one invitee is only ever earned by one person.

8.7 Referral bonuses (under the rules published on the Platform):
a) for each invited business that has passed verification and published its first Offer – 1 free Boost, to be used within 30 days;
b) for 10 invited users who have verified their phone number – a bonus Boost;
c) for 3 invited businesses and 10 invited users – the “AKCETRON Partner” badge on the Business’s profile.

8.8 AKCETRON may give the first Businesses (in particular the first 100 verified Businesses) the “Founding Partner” benefit, e.g. free Boosts and a badge on the profile, under the rules published on the Platform.

8.9 Bonuses have no monetary value and cannot be exchanged for money or transferred. AKCETRON may change or end the bonus rules with effect for the future. Bonuses obtained through fictitious registrations or other abuse lapse, and this is a breach of the Terms under Art. 12.

Article 9 – Ranking of Offers

9.1 The order of Offers on the Platform is determined by an algorithm according to these main parameters: distance from the Customer, match with the search term and category, the size of the discount, how current the Offer is and how long it is valid, the rating and reliability of the Business (e.g. the share of Vouchers accepted) and the Customer’s interests.

9.2 Offers with an active Boost are displayed with priority and labelled on the Platform. Apart from Boost, the ranking cannot be influenced by any payment.

9.3 Only Customers who have redeemed a Voucher at a Business may review it. The Business must not, itself or through third parties, post untrue reviews, give anything in return for reviews or otherwise distort reviews.

Article 10 – Personal data

10.1 When a Voucher is redeemed, AKCETRON makes available to the Business the Customer’s name and the details of their purchase from that Business (in particular the amount the Customer spent at the Business). The Business is an independent controller of this data.

10.2 The Business may use this data only to process and redeem the Voucher, to fulfil its legal obligations and to handle complaints. Without the Customer’s express consent it must not use it to send commercial communications or pass it on to third parties.

10.3 AKCETRON processes the personal data of the Business and its contact persons in accordance with the Privacy Policy published on the Platform.

10.4 In its account, the Business has access to data about its Offers, the Vouchers issued and redeemed and its Boosts. It has no access to data about other businesses or to aggregate data of the Platform.

10.5 The Business undertakes to keep confidential the confidential information it has obtained in cooperating with AKCETRON. Confidential information includes in particular non-public information about how the Platform works and its technical solution, individually agreed terms and prices, and Customers’ personal data. The duty of confidentiality lasts for 3 years after the contract ends; it does not apply to publicly available information or where the law requires the information to be disclosed.

Article 11 – Content and licence

11.1 The Business grants AKCETRON a free, non-exclusive licence, unlimited in territory, to use its name, logo, photos, texts and other content of its Offers for operating the Platform and for promoting the Platform and the Offers (e.g. on social networks, in advertising, in e-mails), for as long as the account exists and for 12 months after it is closed.

11.2 The Business declares that it holds the necessary rights to the content and that using it will not infringe the rights of third parties. The Business will settle any claims of third parties against AKCETRON in this connection and compensate AKCETRON for the resulting damage.

11.3 The Business must not use the AKCETRON trademark and logo without AKCETRON’s consent, except for materials AKCETRON gives it (e.g. the “Find us on AKCETRON” sticker).

11.4 AKCETRON is not responsible for the information and content stored on the Platform by the Business. As soon as AKCETRON learns that content uploaded by the Business is unlawful or breaches the Terms (e.g. on the basis of a notice from a third party under the Digital Services Act), it is entitled to disable access to or delete this content without prior notice, without the Business being entitled to any compensation.

Article 12 – Breach of the Terms and sanctions

12.1 If a breach of the Terms or of the law is suspected, AKCETRON is entitled, without prior notice, to withdraw or hide an Offer, or temporarily suspend its services to the Business. AKCETRON gives the Business a statement of reasons for such a measure at the latest when it takes effect. In the event of a serious or repeated breach of the Terms, or where the law requires it, AKCETRON is entitled to terminate this contract (permanently block the account) with immediate effect. In other cases of breach of the Terms, AKCETRON may terminate the contract with a notice period of 30 days.

12.2 AKCETRON tells the Business the reason for a measure at the latest when it is taken. The Business may file a complaint against the measure under Art. 14.

12.3 The Business will pay AKCETRON a contractual penalty of:
a) CZK 10,000 for each Offer that breaches the Discount Rules under Art. 2;
b) CZK 10,000 for each case of unjustified refusal of a valid Voucher;
c) CZK 10,000 for each Offer of prohibited goods or services under Art. 7;
d) CZK 10,000 for each misuse of Customers’ personal data contrary to Art. 10;
e) CZK 10,000 for each breach of the obligations under Art. 4.5 of the Terms.

12.4 A contractual penalty is payable within 14 days of the demand being delivered. Payment of a contractual penalty does not affect AKCETRON’s right to compensation for damage in full or its right to take measures under Art. 12.1.

12.5 AKCETRON may inform Customers who obtained a Voucher for an Offer withdrawn for a breach of the Terms of this fact. The Business’s duty to accept the Vouchers issued is not affected.

Article 13 – Liability of AKCETRON

13.1 AKCETRON provides the Platform as it is and strives for its uninterrupted availability. It does not, however, guarantee error-free and uninterrupted operation or any number of Customers or sales. AKCETRON is entitled to carry out planned technical outages of the Platform, its individual features or related systems, in particular for maintenance, updates, security, repairs, modernisation or ensuring the proper technical operation of the Platform. AKCETRON will usually announce a planned outage on the Platform at least 24 hours in advance. During a planned technical outage of up to 2 hours, the Business is not entitled to a discount on the price of the Boost service, a refund of part of it, an extension of its duration or any other financial or non-financial compensation, even if the outage temporarily restricts or prevents the use of some features of the Platform or of Boost services. If a planned outage during an active Boost exceeds 2 hours, AKCETRON will extend the Boost by the whole length of the outage.

13.2 AKCETRON is not liable for the conduct of Customers, for the content of Offers, for the performance between the Business and the Customer, or for damage caused by an outage of the Platform that it did not cause intentionally or through gross negligence.

13.3 Within the meaning of Section 2898 of the Civil Code, the parties have agreed that AKCETRON is liable to the Business for harm arising in connection with this contract up to the amount of the payments the Business made to AKCETRON in the 12 months before the event causing the damage, but no more than CZK 10,000. The Business’s right to compensation for lost profit is excluded entirely. This limitation does not apply to harm caused intentionally or through gross negligence.

Article 14 – Complaints

14.1 The Business files complaints concerning the Platform, measures under Art. 12 or other conduct of AKCETRON by e-mail to podpora.biz@akcetron.com. AKCETRON assesses the complaint and tells the Business the outcome without undue delay, usually within 30 days.

Article 15 – Termination of the contract

15.1 The contract between AKCETRON and the Business is formed by registration and is concluded for an indefinite period.

15.2 The Business can close its account at any time in the account settings or by e-mail. AKCETRON may terminate the contract with a notice period of 30 days; in the event of a breach of the Terms it may terminate the contract with immediate effect under Art. 12.

15.3 Closing the account or terminating the contract does not affect the rights and obligations which by their nature are to continue after the contractual relationship ends, in particular the duty to pay contractual penalties, to compensate for damage, to settle Customers’ claims that arose before the contract ended (e.g. to accept valid Vouchers issued under Art. 5.3), to keep confidentiality and the obligations under Art. 10 and 11. The price paid for a Boost is not refunded when the Business closes its account.

15.4 Within 30 days of closing the account or terminating the contract, the Business may ask by e-mail for an export of the data about its Offers, the Vouchers issued and redeemed and its Boosts. After this period the Business no longer has access to them; AKCETRON keeps them for the period set by law.

Article 16 – Changes to the Terms

16.1 AKCETRON may change the Terms unilaterally, in particular when introducing new services, when the law changes or when its business model changes. It will notify the Business of the change by e-mail or in the account at least 15 days before it takes effect.

16.2 If the Business does not agree with the change, it may close its account by the day the change takes effect. By continuing to use the Platform after the change takes effect, the Business agrees to the change of the Terms.

Article 17 – Final provisions

17.1 The legal relationship between AKCETRON and the Business is governed by the law of the Czech Republic, in particular Act No. 89/2012 Coll., the Civil Code, and Regulation (EU) 2019/1150 on promoting fairness and transparency for business users of online intermediation services. Disputes are decided by the general courts of the Czech Republic competent according to AKCETRON’s registered office.

17.2 The Business assumes the risk of a change in circumstances under Section 1765 of the Civil Code. The Business declares that it has read all provisions of the Terms, including the contractual penalties and the limitation of liability, and expressly accepts them.

17.3 The Terms are drawn up in Czech and may also be published in other languages. In the event of any conflict, the Czech version prevails.

17.4 If any provision of the Terms is or becomes invalid or ineffective, it is replaced by a provision whose meaning comes as close as possible to the invalid provision. The invalidity or ineffectiveness of one provision does not affect the validity and effectiveness of the other provisions of the Terms.

17.5 The current version of the Terms is always available on the Platform. Changes to the Terms take effect under Art. 16.

17.6 AKCETRON sends notices and demands under the Terms (including a demand to pay a contractual penalty) to the Business to the e-mail given in the Business’s account or to the Business’s account on the Platform. A message is deemed delivered on the working day after it was sent. The Business must keep the e-mail in its account up to date.

These Terms take effect on 29 October 2026.
